1. SERVICES. Expedition Money (see Contact Information) delivers financial wellbeing services and other related programs and services, (collectively, “Program”) through the website www.expedition.money (“website”) to businesses, institutions, facilities and other organizations (the “Subscribers”), which in turn, make the Program available to their members, employees, members, clients and/or other end users (the “Participants” or “You”). These Terms and Conditions (as amended or modified from time-to-time, the “Terms and Conditions”) govern Your use of the Program and the website.

2. USE BY MINORS (USERS UNDER THE AGE OF 18). The website and the Program are not intended for use by any individual under the age of 18 (a “Minor”). Expedition Money specifically disclaims any and all responsibility or obligation to monitor or verify the age or legal status of any Participant. Expedition Money shall have no liability resulting from any use of the website or the Program by any Minor.

3. NO AGENCY RELATIONSHIP. Use of the Program or the website by a Subscriber or a Participant does not create an agent or agency relationship between either Expedition Money and any Subscriber or between Expedition Money and any Participant. As such, Expedition Money is not an authorized agent of any Subscriber or any Participant and, therefore, cannot enter into arrangements on behalf of, or otherwise bind, any Subscriber or any Participant. Likewise, no Subscriber or Participant is an authorized agent of Expedition Money and, therefore, cannot enter into arrangements on behalf of, or otherwise bind, Expedition Money.

4. AGREEMENT TO BE BOUND. PLEASE READ THIS POLICY CAREFULLY BEFORE ACCESSING OR USING THE PROGRAM OR THE WEBSITE. BY ACCESSING OR USING THE PROGRAM OR THE WEBSITE, YOU, AS A PARTICIPANT, AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH HEREIN AND AGREE TO COMPLY WITH THE TERMS AND CONDITIONS SET FORTH HEREIN (INCLUDING, BUT NOT LIMITED TO, THE DISCLAIMERS SET FORTH ABOVE AND BELOW). IF YOU ARE NOT WILLING TO BE BOUND BY AND COMPLY WITH THESE TERMS AND CONDITIONS, YOU SHOULD NOT ACCESS OR USE THE PROGRAM OR THE WEBSITE. EXPEDITION MONEY MAY MODIFY THESE TERMS AND CONDITIONS AT ANY TIME, AND SUCH MODIFICATIONS SHALL BE EFFECTIVE IMMEDIATELY UPON THE EARLIER OF THE POSTING OF THE MODIFIED POLICY OR YOUR NOTIFICATION OF SUCH MODIFICATIONS. YOU AGREE TO REVIEW THESE TERMS AND CONDITIONS PERIODICALLY AND YOUR CONTINUED ACCESS OR USE OF THE PROGRAM OR THE WEBSITE SHALL BE DEEMED YOUR CONCLUSIVE ACCEPTANCE OF ANY MODIFIED TERMS AND CONDITIONS.

5. NO ADVICE; NO OBLIGATION TO MONITOR. PARTICIPANTS USE THE WEBSITE AND THE PROGRAM AT THEIR OWN RISK. EXPEDITION MONEY DOES NOT PROVIDE LEGAL, INVESTMENT, TAX, FINANCIAL, TRADING OR OTHER ADVICE. THE INFORMATION PROVIDED ON THE WEBSITE AND IN THE PROGRAM IS FOR GENERAL EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY AND IS NOT INTENDED TO BE ADVICE OF ANY NATURE OR TO FORM THE BASIS OF SPECIFIC FINANCIAL, LEGAL, TAX, TRADING OR INVESTMENT ACTIVITIES OR TRANSACTIONS. EXPEDITION MONEY SHALL NOT BE LIABLE TO YOU FOR YOUR RELIANCE ON ANY INFORMATION OBTAINED THROUGH THE USE OF THE PROGRAM OR THE WEBSITE, AND EXPEDITION MONEY DISCLAIMS ALL LIABILITY IN CONNECTION WITH SUCH INFORMATION AND ANY PRODUCTS OR SERVICES THAT YOU MIGHT RECEIVE FROM ANY PROFESSIONAL THAT EXPEDITION MONEY MAY ASSIST YOU IN LOCATING, AS WELL AS ANY COSTS IN CONNECTION WITH SUCH PRODUCTS OR SERVICES. THIS DISCLAIMER SHALL NOT EXTEND TO DAMAGES CAUSED DIRECTLY AND SOLELY BY EXPEDITION MONEY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

6. WARRANTY DISCLAIMER. YOU ACKNOWLEDGE AND AGREE THAT EXPEDITION MONEY PROVIDES THE PROGRAM, THE WEBSITE AND ANY AND ALL EQUIPMENT OR DEVICES RECEIVED BY YOU AS PART OF YOUR PARTICIPATION IN THE PROGRAM AND THE WEBSITE “AS IS” AND “WITHOUT WARRANTY” OF ANY NATURE OR KIND. EXPEDITION MONEY GRANTS NO, AND EXPEDITION MONEY HEREBY DISCLAIMS ALL, WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE PROGRAM, THE WEBSITE AND ONLINE SERVICE SOFTWARE (IF ANY) PROVIDED TO YOU, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. EXPEDITION MONEY DOES NOT WARRANT THAT (I) YOUR USE OF THE PROGRAM, THE WEBSITE OR ONLINE SERVICE SOFTWARE (IF ANY) WILL BE UNINTERRUPTED, ALWAYS AVAILABLE OR ERROR FREE OR WILL MEET YOUR REQUIREMENTS OR NEEDS, (II) ANY OR ALL DEFECTS OR ERRORS IN THE PROGRAM, THE WEBSITE OR ONLINE SERVICE SOFTWARE (IF ANY) WILL BE CORRECTED, OR (III) THAT THE PROGRAM OR THE INFORMATION PROVIDED ON THE WEBSITE IS ACCURATE, CURRENT OR COMPLETE.

7. LIMITATION OF LIABILITY. IN NO EVENT SHALL EXPEDITION MONEY BE LIABLE (I) TO YOU FOR ANY PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHER INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF DATA, LOSS OF INCOME, LOSS OF PROFIT, LOSS OF ASSET VALUE, LOSS OF PROGRAMS, COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR COST OF SERVICE INTERRUPTIONS) ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE PROGRAM, THE WEBSITE, THE ONLINE SERVICE SOFTWARE (IF ANY) AND ANY AND ALL EQUIPMENT OR DEVICES RECEIVED BY YOU AS PART OF YOUR PARTICIPATION IN THE PROGRAM, EVEN IF EXPEDITION MONEY OR ITS AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR (II) TO ANY PERSON OTHER THAN YOU FOR ANY DAMAGES WHATSOEVER. IN ADDITION, EXPEDITION MONEY DISCLAIMS ALL LIABILITY, REGARDLESS OF THE FORM OF ACTION, FOR THE ACTS OR OMISSIONS OF OTHER PARTICIPANTS OR UNAUTHORIZED USERS (E.G., “HACKERS”) OF THE PROGRAM OR THE WEBSITE EXCEPT WHERE DUE TO EXPEDITION MONEY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. IN NO EVENT SHALL EXPEDITION MONEY BE LIABLE TO YOU OR ANYONE ELSE FOR ANY AMOUNT IN EXCESS OF THE AMOUNTS PAID BY YOU (OR BY A THIRD PARTY ON YOUR BEHALF, AND ONLY TO THE EXTENT SUCH AMOUNT IS DIRECTLY ATTRIBUTABLE TO YOU AND NOT ANOTHER PARTICIPANT) TO EXPEDITION MONEY FOR ACCESS TO THE PROGRAM AND THE WEBSITE.

8. RELEASE AND WAIVER. EXCEPT TO THE LIMITED EXTENT EXPRESSLY AGREED IN SECTION 7 OF THE TERMS AND CONDITIONS, YOU HEREBY WAIVE AND RELEASE EXPEDITION MONEY FROM AND AGREE TO HOLD EXPEDITION MONEY HARMLESS FROM AND AGREE TO INDEMNIFY EXPEDITION MONEY AGAINST ANY AND ALL PRESENT AND FUTURE CLAIMS OR CAUSES OF ACTION WHATSOEVER AND ANY AND ALL LIABILITY FOR ANY LOSS OR PERSONAL INJURY OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOSS OF INCOME, LOSS OF PROFIT, LOSS OF ASSET VALUE, OR LOSS OF NET WORTH THAT MAY ARISE FROM OR RELATE TO YOUR PARTICIPATION IN THE PROGRAM OR THE WEBSITE. THIS RELEASE SHALL BE BINDING UPON YOUR HEIRS, ADMINISTRATORS, EXECUTORS AND ASSIGNS.

9. STATE BY STATE VARIATION. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES OR THE LIMITATION ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.

10. EQUIPMENT. You are responsible for providing and obtaining all third party software and personal computing and communications equipment necessary to gain access to Expedition Money and the website.

11. LINKS TO OTHER WEBSITES. As a convenience to You, Expedition Money may provide links to other websites as Expedition Money deems appropriate. Any decision of Expedition Money to link to third party websites is not, and shall not be construed as, an endorsement of the content included in the linked website. Furthermore, Expedition Money is not responsible for the content of linked third-party websites, and Expedition Money does not make any representation or warranty regarding the content, completeness, currency or accuracy of material on third party websites. If You decide to access linked third-party websites, You do so at Your own risk.

12. INTERNET SERVICE PROVIDER CHARGES AND OTHER CHARGES. You are responsible for all telephone, cable or other internet service provider charges incurred by You for connecting to the Program or the website, and Expedition Money assumes no responsibility or liability for any such charges, including, but not limited to, long distance charges, per minute (or unit) surcharges, and/or equipment or line costs, incurred by You while accessing the Program or the website. Any dispute or problem regarding telephone or internet provider services are strictly between You and Your telephone and/or internet service provider.

13. TEXT MESSAGING (SMS). By subscribing to or entering Your mobile number upon registration or in Your profile page, You consent to receiving SMS messages from Expedition Money, including text messages from Expedition Money which may include offers from us, our affiliates, and partners. You can unsubscribe at any time from receiving text messages by removing Your mobile number from Your profile page. You represent that You are the owner, or authorized user of the wireless device You use to subscribe to the service, and that You are authorized to approve the applicable charges. Your wireless carrier's standard messaging rates apply to Your entry or submission SMS message, our confirmation and all subsequent SMS correspondence. Expedition Money will not charge You for any content; however, downloadable content may incur additional charges from Your wireless carrier. Please contact Your wireless carrier for information about Your messaging and data plan. Your carrier may impose message or charge limitations on your account that are outside of our control. All charges are billed by and payable to Your wireless carrier. Expedition Money will not be liable for any delays or failures in Your receipt of any SMS messages as delivery is subject to effective transmission from Your network operator and processing by Your mobile device. SMS message services are provided on an AS IS, AS AVAILABLE basis.

14. ONLINE COMMUNITY USAGE. You fully understand that the activities, discussions and communications within the Program or the website occur in real-time and therefore cannot be monitored, edited, censored or otherwise controlled by Expedition Money or Subscribers. Notwithstanding the foregoing, however, Expedition Money, in its sole discretion, reserves the right to monitor any and all activities within the Program and the website. Furthermore, Expedition Money reserves the right to remove, in its sole discretion, any content that is deemed harmful, offensive, or otherwise in violation of these Terms and Conditions.

15. ACCESS; USE; COMMUNICATION CONTENT. To avoid abusive and offensive content within the Program and the website (and the online communities contained herein), Expedition Money has established the following rules of usage. The sender of any communication in or through the Program or the website shall be solely responsible for the content and information contained therein, including, without limitation, its truthfulness, accuracy and completeness. Although Expedition Money reserves the rights to monitor, record, edit or remove any content within the Program or the website, Expedition Money has no obligation or responsibility to do so. In addition, Expedition Money shall not be liable or responsible to any Participant, Subscriber or any other person or entity for the performance or non-performance of the monitoring, recording, editing or removal activities mentioned above. You agree that You will not:

•Permit any other person (other than an agent acting solely on Your behalf and subject to Your direct supervision) to access the Program or the website using Your account or login credentials for any purpose.

•Unless You are acting solely on behalf another person pursuant a written agency agreement between You and such other person authorizing You to access such other person’s account, access or attempt to access any other person’s account for the Program or the website, including, without limitation, by using or attempting to use another person’s credentials to create an account for the Program or the website or to access another person’s account or other information.

•Post or transmit any message that is or could be construed as libelous, defamatory or that discloses or could be construed as disclosing private or personal matters concerning any person.

•Post or transmit any message, data, image, program or information that is or could be construed as indecent, offensive, obscene or pornographic. Expedition Money reserves the right to take such action, as it deems appropriate, in its sole discretion, in cases where the Program or the website are used to disseminate any message, data, image, program or information that is or could be construed as indecent, offensive, obscene or pornographic.

•Post or transmit any message, data, image, program or information that would violate the property or privacy rights of others, including, without limitation, unauthorized copyrighted text, images, or programs, trade secrets or other confidential, proprietary or personal information, or trademarks or service marks used in an infringing or misappropriating fashion.

•Interfere with any other Participant’s use of the Program or the website, including, without limitation, disrupting the normal flow of dialogue in a discussion thread or chat room.

•Intentionally post or transmit to or through the Program or the website any file that contains a virus, bug, worm, Trojan horse, disabling device or any other contaminating or destructive feature.

•Post or transmit any message that is or could be construed as harmful, threatening, abusive or hateful. Relatedly, Expedition Money does not intend to discourage You or other Participants from taking controversial positions or expressing vigorously what may be unpopular views; provided, however, that Expedition Money reserves the right to take such action, as it deems appropriate, in its sole discretion, in cases where the Program or the website are used to disseminate statements that are or could be construed as harmful, threatening, abusive or hateful.

•Post chain letters or emails or pyramid schemes or any other solicitations within the Program or the website.

•Post the same note or comment more than once. The generally accepted word for posting many times on one topic is “spamming.” Spamming is strictly prohibited.

•Violate any policy or procedure of any Subscriber or any third party website linked in the Program or the website.

•Engage in any other conduct that restricts or inhibits any other person from using or enjoying the Program or the website, or that, in the sole judgment of Expedition Money, exposes Expedition Money or any Subscriber to any liability or detriment of any nature, kind or type.

16. OWNERSHIP AND RIGHTS. Expedition Money owns and retains all copyrights and other proprietary and intellectual property rights in the Program, the website and the Online Service software (if any), including, without limitation, the content thereof. Except as otherwise expressly provided, all copyrightable material displayed on, or downloaded from, the website is copyrighted and may not be copied, performed, displayed, distributed, published, redistributed, transmitted or re-transmitted without the permission of Expedition Money and, if the copyright owner is someone other than Expedition Money, the copyright owner. You may not remove, alter or cover any copyright or other proprietary rights notices placed on or in the Online Service software (if any) or materials in the Program or on the website. All rights not expressly granted to You in these Terms and Conditions shall remain in Expedition Money.

17. VIOLATION OF TERMS AND CONDITIONS. In addition to any other rights any remedies available to Expedition Money, Expedition Money reserves the right to terminate any Participant’s right to use the Program or the website if Expedition Money believes, in its sole discretion, that such Participant has violated the Terms and Conditions.

18. PERSONAL INFORMATION. Any identifiable information in electronic communications to or through the Program or the website is governed by the website’s Privacy Policy. Expedition Money shall be free to use or copy all other information in any such communications, including any ideas, inventions, concepts, techniques, know-how or other intellectual property disclosed in the Program or the website for any purposes. Such purposes may include disclosure to third parties and/or developing, manufacturing and/or marketing goods and services.

19. TRADEMARKS/TRADENAMES. All trademarks, service marks, trade names, logos and graphics (“Marks”) used in the Program or the website are registered or common law trademarks of Expedition Money in the United States and internationally, unless otherwise indicated. You may not make any use of Marks without the prior written consent of Expedition Money.

20. NO FINANCIAL OWNERSHIP ARRANGEMENTS. Expedition Money has no financial ownership arrangements with other organizations for the advertising, marketing or provision of goods and services offered by Expedition Money.

21. PRIVACY POLICY. Your use of the Program or the website is also subject to the Privacy Policy. Please review the Privacy Policy prior to use of the Program or the website.

22. GENERAL PROVISIONS. The Terms and Conditions, accepted upon first accessing the Program or the website, and any other policies, terms and conditions or other documents and agreements that You may accept and agree to in the future, contain the entire agreement between You and Expedition Money regarding the use of the Program, the website and the Online Service software (if any) and may only be amended by Expedition Money pursuant to Section 4 of the Terms and Conditions or by a writing signed by You and an authorized official of Expedition Money. Unless otherwise explicitly stated, the provisions of the Terms and Conditions will survive termination of Your access to, and use of, the Program or the website. The Terms and Conditions shall be governed by, and construed in accordance with, the laws of the State of Illinois (without regard to the conflict of laws rules of the State of Illinois). You agree that any claim or cause of action arising out of or related to Your use of the Program, the website and the Online Service software (if any) shall be brought exclusively in the courts of the State of Illinois sitting in Lake County, Illinois or the United States District Court for the Northern District of Illinois and the appellate courts having jurisdiction over appeals from such courts.

This agreement applies as between you, the User of this Website and Expedition Money LLC, the owner(s) of this Website. Your agreement to comply with and be bound by Clauses 1, 2, 4 – 11 and 15 – 25 of these Terms and Conditions is deemed to occur upon your first use of the Website. Clauses 3 and 12 – 14 apply only to the sale of Services. If you do not agree to be bound by these Terms and Conditions, you should stop using the Website immediately.

No part of this Website is intended to constitute a contractual offer capable of acceptance. Your order constitutes a contractual offer and Our acceptance of that offer is deemed to occur upon Our sending a confirmation email to you indicating that your order has been accepted.

9.4 You acknowledge that any information you send to Us through Our System may be modified by Us in any way and you hereby waive your moral right to be identified as the author of such information. Any restrictions you may wish to place upon Our use of such information must be communicated to Us in advance and We reserve the right to reject such terms and associated information.

10.2 It is recommended that you do not share your Account details, particularly your username and password. We accept no liability for any losses or damages incurred as a result of your Account details being shared by you. If you use a shared computer, it is recommended that you do not save your Account details in your internet browser.
10.3 If you have reason to believe that your Account details have been obtained by another person without consent, you should contact Us immediately to suspend your Account and cancel any unauthorised orders or payments that may be pending. Please be aware that orders or payments can only be cancelled up until provision of Services has commenced. In the event that an unauthorised provision commences prior to your notifying Us of the unauthorised nature of the order or payment then you shall be charged for the period from the commencement of the provision of services until the date you notified us and may be charged for a billing cycle of one month.
10.4 When choosing your username you are required to adhere to the terms set out above in Clause 9. Any failure to do so could result in the suspension and/or deletion of your Account.

12.1 Whilst every effort has been made to ensure that all general descriptions of Services available from Expedition Money LLC correspond to the actual Services that will be provided to you, We are not responsible for any variations from these descriptions as the exact nature of the Services may vary depending on your individual requirements and circumstances. This does not exclude Our liability for mistakes due to negligence on Our part and refers only to variations of the correct Services, not different Services altogether. Please refer to sub-Clause 13.8 for incorrect Services.
12.2 Where appropriate, you may be required to select the required Plan of Services.
12.3 We neither represent nor warrant that such Services will be available at all times and cannot necessarily confirm availability until confirming your Order. Availability indications are not provided on the Website.
12.4 All pricing information on the Website is correct at the time of going online. We reserve the right to change prices and alter or remove any special offers from time to time and as necessary.
12.5 In the event that prices are changed during the period between an order being placed for Services and Us processing that order and taking payment, then the price that was valid at the time of the order shall be used.

13.1 No part of this Website constitutes a contractual offer capable of acceptance. Your order constitutes a contractual offer that We may, at Our sole discretion, accept. Our acceptance is indicated by Us sending to you an order confirmation email. Only once We have sent you an order confirmation email will there be a binding contract between Expedition Money LLC and you.
13.2 Order confirmations under sub-Clause 13.1 will be sent to you before the Services begin and shall contain the following information:

13.3 If We, for any reason, do not accept your order, no payment shall be taken under normal circumstances. In any event, any sums paid by you in relation to that order will be refunded within 14 calendar days.
13.4 Payment for the Services shall be taken via your chosen payment method, immediately for any setup fee that corresponds to the service plan you purchased and at the same day of each subsequent month (“billing cycle”) for charges accrued during the previous month (“billing cycle”) AND/OR as indicated in the order confirmation you received.
13.5 We aim to fulfill your Order within 2-3 working days or if not, within a reasonable period following your Order, unless there are exceptional circumstances. If we cannot fulfill your Order within a reasonable period, we will inform you at the time you place the Order by a note on the relevant web page or by contacting you directly after you place your Order. Time is not of the essence of the Contract, which means we will aim to fulfill your Order within any agreed timescales but this is not an essential term of the Contract and we will not be liable to you if we do not do so. If the Services are to begin within 14 calendar days of Our acceptance of your order, at your express request, you will be required to expressly acknowledge that your statutory cancellation rights, detailed below in Clause 14, will be affected.
13.6 Expedition Money LLC shall use all Our reasonable endeavours to provide the Services with reasonable skill and care, commensurate with best trade practice.
13.7 In the event that Services are provided that are not in conformity with your order and thus incorrect, you should contact Us immediately to inform Us of the mistake. We will ensure that any necessary corrections are made within five (5) working days.
Additional terms and conditions may apply to the provision of certain Services. You will be asked to read and confirm your acceptance of any such terms and conditions when completing your Order.
13.8 Expedition Money LLC provides technical support via our online support forum and/or phone. Expedition Money LLC makes every effort possible to respond in a timely manner but we do not guarantee a particular response time.

14.1 If you are a consumer based within the European Union, you have a statutory right to a “cooling off” period. This period begins once your order is confirmed and the contract between Expedition Money LLC and you is formed and ends at the end of 14 calendar days after that date. If you change your mind about the Services within this period and wish to cancel your order, please inform Us immediately using the following email: info@expedition.money. Your right to cancel during the cooling off period is subject to the provisions of sub-Clause 14.2.

14.2.1 If the Services are fully performed within the 14 calendar day cooling off period, you will lose your right to cancel after the Services are complete.
14.2.2 If you cancel the Services after provision has begun but is not yet complete you will still be required to pay for the Services supplied up until the point at which you inform Us that you wish to cancel. The amount due shall be calculated in proportion to the full price of the Services and the actual Services already provided. Any sums that have already been paid for the Services shall be refunded subject to deductions calculated in accordance with the foregoing. Refunds, where applicable, will be issued within 5 working days and in any event no later than 14 calendar days after you inform Us that you wish to cancel.

19.2 We accept no liability for any disruption or non-availability of the Website resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

Such notice will be deemed received 3 days after posting if sent by first class post, the day of sending if the email is received in full on a business day and on the next business day if the email is sent on a weekend or public holiday.
